1The MHNS Employee Incentive Plan was established by Mobile-health Network Solutions to provide equity awards to employees, directors, advisors, and consultants.
2The plan was approved by the board of directors on February 23, 2023, and amended by the Employee Incentive Plan Committee on September 21, 2023, September 18, 2024, June 3, 2025, and February 6, 2026.
3Awards under the plan may consist of options or restricted shares, with the committee having discretion over grant timing, terms, and conditions.
4The aggregate number of shares that may be issued each financial year pursuant to awards shall not exceed 15% of total issued Class A and Class B shares.
5Options are exercisable for up to 10 years from the grant date, with an exercise price determined by the committee that cannot be less than the par value of US$0.00016 per share.
6Awards immediately lapse if a participant ceases employment or engagement with the company, becomes bankrupt, or engages in misconduct as determined by the committee.
