SEC filingHEICO delivered record net sales and operating income driven by 13% organic growth in FSG and margin expansion.
In the first nine months of fiscal 2025, HEICO achieved record consolidated net sales of $3,275.6 million, a 15% increase year-over-year. Gross profit margin improved 70 basis points to 39.7%, driven by margin expansion in the Flight Support Group (FSG) partially offset by a slight decline in the Electronic Technologies Group (ETG). Operating income rose 22% to a record $740.0 million, with operating margin expanding 130 bps to 22.6%, reflecting both gross margin improvement and SG&A leverage. Net income attributable to HEICO increased 34% to a record $502.1 million, or $3.57 per diluted share, up from $374.4 million, or $2.67 per diluted share. The effective tax rate decreased to 16.0% from 17.3%, primarily due to a larger discrete tax benefit from stock option exercises. Interest expense declined to $97.0 million from $113.9 million as a result of lower debt levels and a lower weighted-average interest rate.
For the third quarter alone, net sales grew 16% to $1,147.6 million, operating income increased 22% to $265.0 million, and net income attributable to HEICO rose 30% to $177.3 million ($1.26 per diluted share). Gross margin improved to 39.8% from 39.2%, and operating margin reached 23.1% versus 21.8%. The tax rate increased to 18.9% from 18.0% due to prior-year items.
Flight Support Group (FSG): FSG net sales grew 17% to $2,282.9 million in the first nine months, including 13% organic growth. The organic increase was led by aftermarket replacement parts ($180.7 million), repair and overhaul parts and services ($53.5 million), and specialty products ($23.3 million). Acquisitions contributed $77.9 million. Operating income surged 25% to $549.4 million, with operating margin improving to 24.1% from 22.5%, driven by gross margin expansion and SG&A efficiencies. Changes in contingent consideration reduced operating income by $13.9 million.
Electronic Technologies Group (ETG): ETG net sales rose 11% to $1,028.3 million, with organic growth of 7%. Growth was driven by space (+$25.9 million), defense (+$22.6 million), other electronics (+$11.5 million), and aerospace (+$11.0 million), partially offset by an $8.3 million decline in medical products. Acquisitions added $33.2 million. Operating income increased 14% to $235.3 million, while operating margin improved slightly to 22.9% from 22.3%, as lower SG&A as a percentage of sales offset a slight gross margin decline.
Management expressed confidence in sustaining net sales growth across both segments, driven by continued organic demand for most products. The company aims to accelerate growth through recently completed acquisitions and ongoing acquisition opportunities. Capital expenditures for fiscal 2025 are expected to be $65–70 million. HEICO maintains a strong financial position with a total debt-to-shareholders' equity ratio of 58.1% and compliance with all covenants, ensuring flexibility to fund organic and acquisitive initiatives.
