SEC filingORIX Corporation announced an affiliate agreed to sell its entire equity interest in subsidiary IX NTI Holdings, LLC, the holding company for Network Connex, to Olympus Partners, resulting in a change in a specified subsidiary.
ORIX Corporation, through an affiliate, has entered into a definitive agreement to divest its entire stake in IX NTI Holdings, LLC, the holding company for Network Connex. The buyer is NTI Buyer LLC, a special purpose company affiliated with Olympus Partners. ORIX Capital Partners (OCP), the private equity team of ORIX Corporation USA, originally invested in Network Connex in 2018. Since the investment, OCP has driven growth through add-on acquisitions and operational improvements, resulting in Network Connex achieving record revenue in the previous fiscal year. The decision to divest follows OCP's determination that Olympus Partners is the optimal partner to support the company's continued growth.
The transaction involves the transfer of 100% of the equity interest, reducing ORIX's ownership to 0%. The agreement was signed on April 13, 2026 (U.S. Time). The transaction remains subject to customary closing conditions, including regulatory approval under the Hart-Scott-Rodino Antitrust Improvements Act. Consequently, the effective date of the transfer is yet to be determined and will occur promptly after conditions are satisfied.
Financial details regarding the transfer price were withheld at the request of the transferee. ORIX noted that the gain on sale is subject to fluctuations from foreign exchange and other factors, making the impact on consolidated performance currently unestimable. As a result, there is no revision to ORIX's consolidated earnings forecast for the fiscal year ended March 31, 2026. The target company reported total assets of USD 449.1 million and revenue of USD 284.5 million for the fiscal year ended December 31, 2024, but recorded a net loss of USD 38.0 million for that period.
