SEC filingPT Telekomunikasi Indonesia Tbk announces a proposed share buyback of up to Rp1 trillion, subject to shareholder approval at the June 8, 2026 GMS.
PT Telekomunikasi Indonesia Tbk (Telkom) has disclosed a proposed share buyback plan with a maximum total value of Rp1,000,000,000,000 (one trillion Indonesian Rupiah). The buyback is intended to strengthen confidence in the company's long-term value and prospects, aligning market conditions with fundamentals. The plan will be submitted for shareholder approval at a General Meeting of Shareholders (GMS) scheduled for June 8, 2026. If approved, the buyback may be executed through or outside the Indonesia Stock Exchange, as well as for its American Depositary Receipts listed on the NYSE, within 12 months from the GMS date. The maximum number of shares repurchased is capped at 10% of issued and paid-up capital, and the free float must remain above 15%. Funding will come from internal cash optimization, not from public offerings or debt. Pro forma financials as of September 30, 2025, show that the buyback would reduce total assets and equity by up to Rp1 trillion, but net income remains unchanged at Rp15,784 billion, and EPS would increase slightly from Rp159.33 to Rp159.82 due to the reduced share count. The company believes the buyback will not materially affect revenue, business activities, or growth prospects, given sufficient working capital and cash flow. The disclosure complies with Indonesian Financial Services Authority (OJK) Regulation No. 29/2023 and applicable US securities regulations.
