SEC filingDraganfly enters into definitive agreement to acquire substantially all drone technology assets of Skip Dynamix for up to US$7.525 million.
Draganfly Inc. announced a definitive asset purchase agreement to acquire substantially all drone technology assets of Skip Dynamix, a developer of ultra-low-cost, mass-producible fixed-wing unmanned aerial systems. The transaction, valued at up to US$7.525 million, consists of a cash payment of $2.525 million at closing, $2.5 million in Draganfly common shares (issued via special warrant and vesting based on founder retention), and up to $2.5 million in earn-out consideration tied to achieving certain milestones. The acquisition is strategically significant as it adds Skip Dynamix's Orca fixed-wing platform to Draganfly's existing multi-rotor portfolio, addressing long-range ISR, one-way missions, and scalable autonomous operations for defense customers. The deal aligns with accelerating global demand for low-cost autonomous aerial systems, particularly in Indo-Pacific and NATO markets. Skip Dynamix founders Jonathan Baron and Andrew Chapman are expected to continue with the combined entity under employment agreements. The transaction is expected to close in early June 2026, pending regulatory approvals and customary conditions.
