On June 1, 2026, Samsara Inc. completed its reincorporation from Delaware to Nevada, becoming a Nevada corporation. The conversion was effected by filing a certificate of conversion with the Delaware Secretary of State and articles of conversion with the Nevada Secretary of State. All outstanding shares of Class A and Class B common stock, par value $0.0001 per share, were automatically converted into an equal number of shares of Nevada common stock of the same class, with the same par value. No exchange of stock certificates was required, and the company's trading symbol (IOT) and NYSE listing remained unchanged. The reincorporation did not affect the company's business, management, properties, offices, employees, obligations, assets, liabilities, or net worth, except for costs associated with the reincorporation. Material contracts and rights and obligations under them continued unchanged. In connection with the change, new indemnification agreements were entered into with executive officers and directors, and governing documents were replaced by Nevada articles of incorporation and bylaws. Stockholder rights were modified as per Nevada law and the new charter.
