SEC filingStrong refining and logistics gains offset by Wyoming incident drove net income to $59.5M in Q2 2025, up from $18.6M.
For the second quarter of 2025, Par Pacific reported net income of $59.5 million, a substantial improvement from $18.6 million in the same period of 2024. Revenue declined 6% to $1.89 billion, driven by lower crude oil prices (Brent down 22%, WTI down 21% YoY), but higher sales volumes and crack spreads partially offset the drop. Gross profit (revenue minus cost of revenues) rose 21% to $300 million, as cost of revenues fell 10% due to lower crude costs and favorable derivative activity. Operating income doubled to $96.8 million, with operating margin expanding from 2.4% to 5.1%. Adjusted EBITDA increased 69% to $137.8 million. The main driver was the refining segment, which saw operating income jump $40.1 million to $81.3 million, benefiting from higher crack spreads, favorable derivatives, and higher sales volumes. The logistics segment added $5.7 million in operating income, and retail contributed $4.7 million. These gains were partially offset by a $10.2 million increase in income tax expense.
Corporate and eliminations segment loss increased to $29.1 million, largely due to Par West redevelopment costs ($4.7 million) and higher administrative costs.
Management noted the Wyoming refinery returned to full operations in late April 2025. A renewable fuels facility joint venture with Alohi (Mitsubishi and ENEOS) is expected to be completed by end of 2025, with Par contributing up to $21 million and Alohi $100 million. Liquidity remains strong at $647 million, including $169 million cash and $478 million ABL availability. The company repurchased $80.8 million of stock in H1 2025 under a new $250 million authorization. No specific revenue or earnings guidance was provided, but management highlighted risks from OPEC production increases, tariffs, and geopolitical tensions. Cash flow from operations improved to $132 million in H1 2025 from $21 million in H1 2024, driven by working capital improvements. Capital expenditures focused on profit improvement and maintenance projects, including the Hawaii renewable hydrotreater.

Total debt net of unamortized discount and deferred financing costs was $1.11B, comprising $485M under the ABL Credit Facility (due 2028) and $636.9M under the Term Loan Credit Agreement (due 2030). The ABL facility had a borrowing base of approximately $1.0B, with $477.8M availability after letters of credit. The company maintained compliance with all debt covenants.

Additionally, potential costs of $11.6M for a new wastewater treatment system and possible penalty enforcement actions exceeding $300K were disclosed. The company also has operating and finance lease obligations with undiscounted future payments of $575.5M as of June 30, 2025.
In H1 2025, Par Pacific repurchased 5.2 million shares for $79.4M under the new $250M buyback program authorized on February 21, 2025. As of June 30, 2025, $181.3M remained under authorization. No dividends were declared. Capital expenditures totaled $89.1M, up from $59.5M in the prior year period, driven by refining segment investments. Net debt decreased slightly by $0.5M, with $3.3B in borrowings and $3.32B in repayments during the six months.
For Q2 2025, the Refining segment generated $1.83B revenue and $81.3M operating income, Logistics $73.0M revenue and $23.7M operating income, and Retail $146.7M revenue and $20.8M operating income. Corporate and Other recorded a $29.1M operating loss. Segment operating income improved year-over-year, with refining benefiting from improved margins despite the Wyoming refinery incident that idled operations from mid-February to late April 2025.
